Terms of Use

This Terms of Use Agreement (the "Agreement") is entered into by and between Voxa-LLC and you.

This Agreement sets forth the legally binding terms and conditions governing your use of Voxa, a product owned and operated by Voxa-LLC. By accessing or using Voxa, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, you must not use the service.

By accessing or using Voxa, you:

• Acknowledge that you have read, understood, and accepted these Terms of Use.

• Represent that you have the legal capacity to enter into a binding agreement.

• Agree to comply with all applicable laws and regulations.

If you are using the service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these terms.

Voxa is a cloud-based Voice AI agent platform designed for businesses. The service enables users to:

• Automate incoming and outgoing voice calls

• Send and receive SMS and email communications

• Set up AI-powered conversational flows for customer service or sales

• Purchase and manage virtual phone numbers

• Monitor and analyze communications through a user dashboard

The platform operates autonomously based on user-provided business data and configurations.

To access Voxa, users must create an account by providing accurate, complete, and current information.

• You are solely responsible for maintaining the confidentiality of your account credentials.

• You must notify us immediately of any unauthorized access or use of your account.

• We reserve the right to suspend or terminate accounts that provide false or misleading information.

• We may require additional verification or identity confirmation for security and compliance purposes.

Voxa operates on a pay-as-you-go model.

4.1. Top-Up Balance

• Users must preload funds into their Voxa account ("balance") before using the service.

• The available balance is used to pay for all applicable usage fees.

• Funds in the account are not refundable, whether used or unused.

4.2. Usage Charges

Charges will apply in the following ways:

• Voice Calls (Incoming/Outgoing): Charged per minute

• SMS/Text Messages: Charged per message sent

• Virtual Numbers: Charged per number provisioned and maintained

• Email Communication (if applicable): Charged per send or bulk tier

• Charges may vary depending on geographic location, volume, or other usage metrics

4.3. Insufficient Balance

If your balance reaches zero:

• Your AI agent will immediately cease functioning (i.e., it will not answer calls, send messages, or initiate any actions).

• You will receive a notification (email or in-app) encouraging you to top up.

• No service will resume until your account is recharged with sufficient balance.

• All applicable rates and usage fees are clearly displayed in the user dashboard.

• Rates may vary based on region, carrier fees, call destination, or message type.

• Prices are subject to change with prior notice of at least 7 calendar days, sent via email or shown in-app.

• You are responsible for reviewing rate changes and adjusting usage accordingly.

You agree to use Voxa only for lawful, legitimate business purposes.

You must not:

• Use Voxa to engage in fraudulent, abusive, or unlawful communication.

• Violate any telecommunications or data protection laws, including GDPR, TCPA, or CAN-SPAM.

• Harass, threaten, or abuse individuals through your AI agent.

• Use the service to impersonate another individual or business entity without authorization.

• Attempt to reverse-engineer, copy, or manipulate Voxa or its infrastructure.

We reserve the right to suspend or terminate any account found to be in violation of these terms or applicable laws.

Voxa, including its interface, features, branding, codebase, and AI logic, is the intellectual property of Voxa-LLC.

• All rights not expressly granted in these Terms are reserved.

• Users are granted a limited, non-transferable, non-exclusive, revocable license to use the platform as intended.

• You may not modify, distribute, reproduce, or create derivative works based on Voxa without prior written consent.

• Any unauthorized use will be considered an infringement and may result in legal action.

8.1. By the User

You may terminate your account at any time by contacting support or deleting your account through the dashboard.

8.2. By the Company

We reserve the right to suspend or terminate your access to Voxa if you:

• Breach these Terms

• Violate applicable laws

• Cause harm to the integrity or performance of the platform

In case of termination, any unused balance is non-refundable and will be forfeited.

To the maximum extent permitted by law:

• Voxa-LLC shall not be liable for indirect, incidental, punitive, or consequential damages.

• This includes, but is not limited to, loss of revenue, data, or business opportunities arising from or related to the use or inability to use Voxa.

• Our total liability for any claim under these terms shall not exceed the total amount you have paid in the six (6) months preceding the claim.

• You acknowledge that the service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

Voxa-LLC is not responsible for delays or failure in performance due to events beyond our reasonable control, including but not limited to natural disasters, government acts, internet outages, power failures, or third-party service interruptions.

We may update or modify these Terms from time to time. You will be notified of any significant changes through email or the dashboard.

Your continued use of Voxa after the updated Terms become effective constitutes acceptance of the revised Agreement.

These Terms of Use shall be governed and construed in accordance with:

• The laws of the State of Delaware, United States of America

• Applicable federal laws of the United States

All disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, unless otherwise required by applicable consumer protection laws.
